Terms of Service

Last updated: 21 October 2026

These Terms of Service (the “Terms”) are an agreement between GrowFly (“GrowFly”, “we”, “us”) and the individual, household business or company that signs up for and uses GrowFly (“you”, “the customer”).

By creating an account, opening a shop or using the service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you use the service on behalf of a household business or company, you confirm that you are authorized to accept these Terms for it.

This English version is provided for convenience. If it differs from the Vietnamese version, the Vietnamese version prevails.

Summary

  • GrowFly is software as a service (SaaS) for point of sale, inventory, shipping, e-invoicing, household-business tax and a mobile app.
  • A new shop gets a free 90-day trial with no card required. If it is not renewed when the trial or paid period ends, the shop is locked — its data is not deleted.
  • Your shop data belongs to you. You can export it at any time; we only process it to provide the service.
  • You are responsible for the content of your invoices, books and tax returns and for your obligations to the authorities. GrowFly is a tool, not a tax or accounting advisory service.
  • Connected services such as Viettel SInvoice, Viettel Post, SePay, PayPal and Google are provided by third parties under their own terms.
  • These Terms are governed by the laws of Vietnam.

This summary is a quick guide to the main points; the full text below is what applies.

1. Definitions

  • Service: the GrowFly software on the web and in the mobile app, the account site, documentation and the support that comes with them.
  • Account site: where you sign up, open shops, manage members, pay and ask for support (account.growfly.ai).
  • Shop: your own instance of GrowFly, with its own web address and a database kept separate from every other shop.
  • Users: you and the people you add to a shop or account (staff, accountants, managers…).
  • Shop data: everything you and your Users put into a shop or create by using it: products, stock, customers, orders, invoices, shipments, books and attachments.
  • Connected services: third-party services you choose to connect to a shop, such as e-invoicing, shipping, banking, payments or an AI assistant.

2. The Service

We provide the Service according to the plan you choose. What each plan includes is described on the Pricing page and in the account site when you sign up or renew.

We keep improving the Service and may add, change or retire features. If a change materially reduces the features of a plan you are paying for, we will tell you at least 30 days in advance; if you do not accept it, you may stop using the Service and receive a refund of prepaid fees for the unused time.

Some features may be marked as experimental. They are offered for you to try, may change or be withdrawn without notice, and are not part of what a plan commits to.

The public demo shop (the Try page) is shared by every visitor and refreshed every night. Do not enter real data or personal information in it: other visitors can see it, and it is erased at each refresh.

3. Accounts and sign-in

  • You must be at least 18, have full legal capacity and give accurate, up-to-date sign-up details.
  • You sign in with your email and a one-time code (OTP), with your email or username and a password (once you set one), with a Google account, or with a passkey. Keep your mailbox, password, Google account and sign-in devices secure; do not share codes, passwords or accounts.
  • You are responsible for all activity under your account and under the Users you add, including the permissions you give them. Remove staff access when someone leaves.
  • The account owner can invite members as Admin (runs the shops like the owner: new shops, plans, domains, deleting shops) or Accountant (pays, and sees plans and receipts). Only the owner can close the account.
  • If you notice unauthorized access to your account, tell us immediately through Support in the account site.

4. Free trial, plans and payment

  • Every new shop gets a free 90-day trial with the full features of the chosen plan and no card required. We may change the trial length for new sign-ups; a change does not affect shops already in their trial.
  • Fees are paid in advance for each billing period (monthly or yearly) at the price shown when you pay. Prices and any applicable taxes are shown before you confirm.
  • You can pay with PayPal (in US dollars) or by bank transfer using a VietQR code (in Vietnamese đồng). We do not store your card number or your banking credentials.
  • PayPal payments are a subscription that renews every period until you cancel it in the account site or on PayPal. Bank transfers prepay one period at a time; we email you a reminder before it ends.
  • When you change plans, the new plan starts when the paid period ends, unless the account site says otherwise at the time of the change.
  • If we change prices, we will tell you at least 30 days in advance. New prices apply from your next renewal, never to a period you have already paid for.
  • You receive a receipt in the account site for every successful payment. A receipt confirms the payment; it is not a VAT invoice.
  • If you cancel renewal, the shop keeps working until the end of the paid period. Fees already paid are not refunded for the remainder of that period, except where these Terms provide a refund or the law requires one.

5. Late payment, locking, deleting a shop and termination

  • If the trial or paid period ends without renewal, the shop gets a short grace period (currently 7 days) and is then locked: Users cannot use it or sell until you renew. Shop data is kept as it is, and the shop reopens as soon as payment succeeds.
  • We currently do not automatically delete shops locked for non-payment. If we change this, we will give you at least 30 days’ notice so you can renew or export your data.
  • The account owner or an Admin can delete a shop in the account site; the shop’s PayPal subscription is cancelled at the same time. The shop is closed and can be restored from the account site for 30 days, then permanently deleted on the schedule described in the Privacy Policy.
  • The account owner can close the account once its shops are deleted. Members, the password, passkeys and sign-in sessions are then removed; billing details and receipts are kept as accounting law requires.
  • We may suspend or end access if you seriously breach these Terms, do not pay, endanger the system or other people, or if a competent authority requires it. Except in an emergency or where the law does not allow it, we will warn you first and give you reasonable time to fix the problem.
  • If we discontinue the Service, we will give at least 90 days’ notice, refund prepaid fees for the unused time and help you export all of your data.

6. Your data

  • Shop data belongs to you. You allow us to store, back up, transmit and process it as far as needed to provide, secure and support the Service, and where the law requires.
  • We do not sell shop data, use it for advertising, or use it to train AI models.
  • The shop owner can download backups of the shop’s data (database and attachments) under Backups in the shop’s menu. While the shop is locked for non-payment or waiting to be deleted, contact us for a copy of the data.
  • For the personal data of your customers, staff and delivery recipients held in shop data, you are the data controller and we process it on your behalf. You are responsible for having a legal basis to collect it, for informing the people concerned and for answering their requests; we help you as described in the Privacy Policy.
  • We back up data daily to recover from incidents, but this does not replace your own duty to keep records under accounting and tax law. Export and keep your data regularly, and always before deleting a shop.

7. E-invoicing, tax and your obligations

GrowFly helps you issue e-invoices through your own Viettel SInvoice account, keep revenue books (S1a, S2a…), prepare household-business tax returns (01/CNKD) and track revenue thresholds. For these features:

  • You are responsible for the accuracy of your sales records and invoice content, for choosing your tax method, and for filing and paying on time.
  • An issued e-invoice cannot be deleted or cancelled in GrowFly; mistakes are handled with a replacement or adjustment invoice as the invoicing rules require.
  • Figures, forms and rates in the software reflect our understanding of the rules when they were built. When the rules change we update within a reasonable time, but you should check with the tax office or your advisor.
  • GrowFly does not provide tax, accounting or legal advice and does not deal with the tax authorities on your behalf.

8. Third-party connected services

When you turn on a connected service (for example Viettel SInvoice, Viettel Post, SePay, PayPal, Google sign-in, or an AI assistant connected over MCP), you allow us to send it the data needed for what you ask, such as buyer details on an invoice or the recipient’s address on a shipment.

Your use of a connected service is governed by your contract and terms with its provider, including their fees. We are not responsible for a third party’s outages, errors, fees or handling of data, including COD reconciliation figures supplied by a carrier.

9. Acceptable use

When using the Service, you and your Users must not:

  • trade in prohibited, counterfeit or smuggled goods or services, or goods that infringe intellectual property;
  • issue invoices or documents for transactions that did not happen, evade tax or defraud customers;
  • send spam or unlawful marketing messages, or collect personal data unlawfully;
  • access or try to access other people’s shops or accounts; probe for vulnerabilities, attack, overload or get around the technical limits of the system;
  • upload malware or unlawful content;
  • resell or sublicense the Service to third parties without our written agreement.

We may remove content or suspend access to stop a breach, as set out under “Late payment, locking, deleting a shop and termination”.

10. Availability and support

We make reasonable efforts to keep the Service running, but we do not promise it will never be interrupted or error-free unless we have signed a separate service-level agreement with you. Planned maintenance is done outside shop hours (Vietnam time) where possible and announced in advance when we can.

You can ask for support through Support in the account site.

11. Intellectual property

The GrowFly software, brand, interface and documentation belong to us or our licensors. While your use is in good standing, you have a non-exclusive, non-transferable right to use the Service for your own business.

GrowFly is built on open-source software, including the Frappe Framework and ERPNext. Open-source components remain under their own licenses, and nothing in these Terms limits any right you have under those licenses.

If you send us feedback or feature ideas, we may use them to improve the Service without owing you anything for it.

12. Limitation of liability

To the extent the law allows:

  • The Service is provided as is and as available. We do not guarantee that it suits every purpose of yours.
  • We are not liable for indirect loss, lost profit or lost business, or for loss caused by data you entered incorrectly, by your Users’ actions, by third-party connected services or by force majeure.
  • Our total liability for all claims relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

These limits do not apply to liability that Vietnamese law does not allow to be excluded or limited.

13. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, epidemics, fire, war, widespread power or Internet cable outages, failures of infrastructure providers, large-scale cyberattacks or government decisions. The affected party must notify the other and work to resolve the situation as soon as possible.

14. Changes to these Terms

We may update these Terms. For important changes we will notify you by email or in the account site at least 15 days before they take effect, unless the change is required by law or needed immediately to keep the system secure. The date of the latest update is shown at the top of this page.

If you keep using the Service after a change takes effect, you are treated as accepting the new Terms. If you do not agree, you may stop using the Service and cancel renewal before the change takes effect.

15. Governing law and disputes

These Terms are governed by and interpreted under the laws of Vietnam. Any dispute is first settled by good-faith negotiation. If it is not settled within 30 days after one party asks, it goes to the competent People’s Court in Vietnam.

These Terms are written in Vietnamese and English. If the two versions differ, the Vietnamese version prevails.

If any provision of these Terms is held invalid, the remaining provisions stay in effect.

16. Contact

For any question about these Terms, contact GrowFly through Support in the account site.
